Distributor Collaboration Terms

1. Nature of the relationship
The distributor acts as an independent commercial entity. The relationship between LUBESOLUT S.L. and the distributor does not in any case imply an employment relationship, legal representation or mandate. Each party acts on its own behalf and assumes its own commercial, tax and legal responsibility.
2. Exclusivity
There is no territorial or product exclusivity unless this is expressly set out in a distribution agreement signed by both parties. LUBESOLUT reserves the right to operate in any market and with any client directly or through other channels.
3. Commercial responsibility
- The distributor is responsible for their own commercial activity
- LUBESOLUT does not assume responsibility for commitments made by the distributor to its clients
- The distributor may not act on behalf of LUBESOLUT without express written authorisation
4. Brand and image use
- The distributor must respect LUBESOLUT's brand and image guidelines
- Logos, names or communications materials may not be modified without authorisation
- Use of the LUBESOLUT brand in own communications requires prior approval
- Use of the brand in contexts that may damage the company's image is prohibited
5. Technical information
- The distributor may not modify, alter or supplement product technical information without express authorisation
- Technical and safety data sheets must be provided to the end client in full and unmodified
- Any technical recommendation to the end client is the distributor's responsibility
6. Commercial conditions
Price, discount, volume rebate or financing conditions applicable to the distributor will be those agreed in writing at any given time. LUBESOLUT reserves the right to modify commercial conditions with reasonable prior notice.
7. Confidentiality
The distributor undertakes to maintain confidentiality regarding prices, formulations, commercial strategies and any information provided by LUBESOLUT within the framework of the commercial relationship.
8. Duration and termination
The commercial collaboration may be terminated by either party with reasonable prior notice, unless a specific distribution agreement with different conditions exists. Termination will not give rise to any right to compensation unless expressly agreed.
